1. Introduction

This Privacy Policy (“Privacy Policy”) describes how AgVend, Inc. (“AgVend,” “we,” “us,” or “our”) collects, uses, and discloses your Personal Information. It governs Personal Information we collect through our website(s), microsite(s), and mobile website(s) (collectively, “Sites”) and Personal Information we collect from you or third parties through any other means to provide our services or perform other business activities (collectively, “Services”). This Privacy Policy does not apply to Personal Information we collect in an employment context or that we process as a service provider on behalf of other data controllers.

This Privacy Policy is directed to visitors and users located in the United States and Canada. For detailed information about the cookies and similar tracking technologies used on our Sites, including a complete cookie table and your cookie-specific choices, please refer to our Cookie Policy.

For visitors located in Canada, your continued use of our Sites after receiving notice of this Privacy Policy constitutes implied consent to the data practices described herein; you may withdraw your consent at any time as described in Section 6 below.

2. Information We Collect

We may collect the following types of information that personally identifies, relates to, describes, or is capable of being associated with you (“Personal Information”):

  • Personal identifiers and contact information such as username, password, name, email address, telephone number, mailing address, and social media profiles.
  • Commercial information such as records of our Services, communications between you and us, payment information, record of attendance at events or participation in surveys, biographical information you provide in connection with the Services which may include photographs you provide.
  • Professional/employment information such as job title, employer, occupation, and professional associations or qualifications.
  • Internet and electronic network information such as device ID, IP address, browser type and settings, operating system, referring URLs, and other data collected through cookies, log files, or similar technologies about your device or use of the Sites that can be associated with you.
  • Geolocation data such as approximate location derived from your IP address (for example, when you interact with forms on our Sites, third-party services such as the WPForms Geolocation Service may process your IP address to derive approximate location).
  • Inferences such as your preferences and interests, derived from any of the above categories.

We may collect Personal Information from you in a variety of contexts including:

  • Access registration. In order for you to access certain portions of the Sites, you may be required to register on the Sites and create an account. When you register, you must provide certain Personal Information, such as your name, email address, telephone number, mailing address, and/or other contact information.
  • Events. If you attend an event and we scan your badge, we may collect certain information (name, title, company name, address, country, phone number, email address).
  • Community registration. If you register for an online community that we provide, we may ask you to provide a username, photo or other biographical information, such as your occupation, location, social media profiles, company name, areas of expertise and interests.
  • Cookies and similar technologies. When you visit our Sites, we and third parties may automatically collect information about your device, browsing activity, and interactions through cookies, pixels, web beacons, local storage, and embedded scripts.   • Log files. If you use and interact with our Sites, we may automatically collect information about your device and your usage of our Sites through log files and other technologies, some of which may qualify as Personal Information.
  • Surveys. If you voluntarily submit certain information to our Sites, such as filling out a survey about your experience, we collect the information you have provided.
  • Office visits. If you visit our offices, you may be required to register as a visitor and to provide your name, email address, phone number, company name, and time and date of arrival.

We may also obtain Personal Information from third parties such as referral sources, data brokers, or other customers.

We may collect or use information in an anonymized, aggregated, or de-identified format (“Anonymized Information”). We may use and disclose Anonymized Information for any and all purposes permitted by applicable law. We will not attempt to re-associate the Anonymized Information with identifiable individuals.

3. Cookies, Tracking Technologies, and Targeted Advertising

Cookies and Automated Tools

We and third parties (including our service providers and Advertisers) use cookies (small text files placed on your device), pixels, web beacons, local storage, and embedded scripts (collectively referred to as “cookies” in this Privacy Policy unless the context requires otherwise) to collect Personal Information and usage data, track your interaction with our Sites and Services, analyze site performance, engage in targeted advertising, measure advertising effectiveness, and support our marketing efforts.

When you first visit our Sites, a cookie banner may be presented offering you the choice to accept all cookies or to decline non-essential cookies. If you decline, only strictly necessary cookies (and functional cookies integral to a service you have requested, such as live chat) will remain active. We use the following categories of cookies:

  • Strictly Necessary: Essential to operate the Sites and provide you with services you have requested (e.g., spam and bot prevention). These cookies cannot be switched off and do not store personally identifiable information for marketing purposes.
  • Functional: Enable enhanced functionality such as live chat, social sharing, and form analytics. Disabling them may limit certain features.
  • Analytics: Collect information about how visitors use our Sites to help us improve performance and understand our audience.
  • Advertising / Targeting: Support targeted advertising and advertising measurement by linking ad clicks to on-site actions. The use of these cookies may constitute “sharing” of Personal Information under applicable U.S. state privacy laws. Disabling them does not block generic advertisements.

Our Sites also load resources from third-party CDNs and service providers (such as jQuery CDN, Google Fonts, jsDelivr, and Cloudflare) that do not set cookies but may receive standard HTTP connection data such as your IP address.

Targeted Advertising

We may work with third-party advertisers, search providers, and ad networks (“Advertisers”) to learn more about you and show you ads or other content that we believe would be relevant to you. Advertisers may collect and use information about your use of our Sites or Services as well as other websites and services. These companies may use cookies to collect and use your information. We and/or Advertisers may also append other data to the data collected by Advertisers to create an interest profile of individual users. Our Privacy Policy does not cover use by an Advertiser of information that they collect from you.

Some Advertisers that collect information for targeted advertising are members of the Digital Advertising Alliance (DAA) or the Network Advertising Initiative (NAI), both of which maintain websites where people can opt out of targeted advertising from their members. If you want to reduce the targeted advertising you receive, you can visit the DAA Consumer Choice Page and/or the NAI Consumer Opt-Out Page. These opt-outs may be device and browser specific.

Information from Advertisements

If you arrive at our Sites via an advertisement (e.g., banner ad), we may collect information regarding the advertisement with which you interacted and your interactions (e.g., item clicked, date and time).

Google Analytics

We use Google Analytics 4 to analyze how visitors interact with our Sites. Google Analytics uses cookies to collect and process data. For more information, including how to opt out, please review Google’s Safeguarding Your Data disclosure and install the Google Analytics Opt-out Browser Add-on.

4. How We Use Your Information

We may store, process, and use Personal Information we collect for our business purposes including, without limitation, in order to:

  • Providing the Sites and Services: to create customer accounts, allow customers to create profiles, process payments, personalize the Services, respond to requests for information, keep customers informed about the status of their Services, and for general account servicing and customer support purposes;
  • Marketing, advertising, and analytics: to market and advertise our and third parties’ products and services and perform analytics, including through the use of cookies and similar technologies as described in Section 3 and in our Cookie Policy;
  • Other company communications: to otherwise communicate with you;
  • Website analytics: to analyze your use of our Sites, including the use of cookies and third-party analytics services;
  • Product research and development: to conduct research and analysis for maintaining, protecting, developing, and improving our Sites and Services;
  • Business operations: to evaluate, develop, and improve business operations, conduct audits, resolve technical issues, and perform business administration and other normal business activities; facilitating a proposed or actual merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, sale of company assets, or similar corporate transaction;
  • Compliance: to comply with legal requirements, industry standards, contractual obligations, our policies, and take actions that we deem necessary to preserve and enforce our rights and the rights of others;
  • Information security and fraud prevention: to verify your identity and operate information security and anti-fraud programs; and
  • Other purposes: as otherwise described to you at the point of collection, with your consent, or as otherwise required by law.
5. How We May Disclose Your Personal Information

We may disclose Personal Information to third parties as follows:

  • To our current and future affiliates and subsidiaries for the purposes described in this Privacy Policy;
  • To our authorized professional advisors, service providers, and suppliers who provide services to us such as website hosting, payment processing, data analysis, information technology and related infrastructure services, customer service, consulting, legal services, accounting services, email delivery, auditing, and similar services for the purpose of enabling them to provide such services;
  • To third parties, including Advertisers, for marketing, advertising measurement, and/or analytics purposes. Where such disclosure occurs through the use of advertising or analytics cookies, it may constitute “sharing” Personal Information under applicable US state privacy laws;
  • To other third parties at your request such as if you choose to make certain information available to other users of our Services;
  • As necessary or appropriate to comply with our legal requirements and legal processes, and/or to respond to requests from governmental authorities or to protect the rights, property or personal safety of AgVend or its employees or other users;
  • In connection with a proposed or actual merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, sale of company assets, or similar corporate transaction;
  • To any entity for any products, services, or companies we may acquire as reasonably necessary to complete the acquisition; and
  • For additional purposes with your consent or as described to you at the point of collection.
6. Additional Information for Residents of Canada

If you are located in Canada, the Personal Information Protection and Electronic Documents Act (“PIPEDA”) and, where applicable, provincial legislation such as Quebec’s Law 25 grant you the following rights:

  • Right to access: Request access to the Personal Information we hold about you.
  • Right to correction: Request correction of inaccurate or incomplete Personal Information.
  • Right to withdraw consent: Withdraw your consent to the collection, use, or disclosure of your Personal Information at any time, subject to legal or contractual restrictions. Withdrawal may affect our ability to provide certain features or Services.
  • Right to complain: File a complaint with the Office of the Privacy Commissioner of Canada or the relevant provincial commissioner.

For residents of Quebec, Law 25 imposes heightened consent requirements. We endeavor to obtain express consent for non-essential cookies from Quebec visitors where required by law.

Under PIPEDA, we rely on implied consent for the use of cookies described in this Privacy Policy and our Cookie Policy, provided that adequate notice is given (which this Privacy Policy, the Cookie Policy, and the cookie banner are intended to provide). You may withdraw your consent at any time by contacting us as described in Section 9 below and as described in our Cookie Policy.

7. Do Not Track and Global Privacy Control

Our Sites do not respond to “Do Not Track” browser signals. However, we do recognize and honor the Global Privacy Control (“GPC”) signal. If your browser transmits a GPC signal, we will treat it as a valid opt-out of the “sharing” of Personal Information for cross-context behavioral advertising through tracking technologies, to the extent required by applicable US state privacy law. You can enable GPC through browsers such as Brave or Firefox, or through extensions such as Privacy Badger.

8. Data Security

We take reasonable and industry-recognized safeguards designed to protect against accidental, unlawful, or unauthorized access, disclosure, or use of your Personal Information. Nevertheless, transmissions over the Internet are never entirely secure and we cannot guarantee the security or the preservation of the integrity of any transmitted data. Please consider this fact before transmitting any Personal Information or information that you consider confidential through the Sites or Services.

10. Data Retention

We retain Personal Information for as long as necessary to fulfill the purposes for which it was collected, to provide our Services, to comply with legal obligations, to resolve disputes, and to enforce our agreements. 11. Use by Children

The Sites and Services are intended for use by persons who are 18 years of age or older. If you are under 18 years of age, you are prohibited from using the Sites and Services. If we discover that we have collected any Personal Information from a child under the age of 18, we will suspend the associated account and remove that information from our database.

12. Third-Party Websites and Services

This Privacy Policy does not address, and we are not responsible for, the policies and practices of third parties or other organizations that are not AgVend service providers, including policies and practices related to privacy and security, data collection, processing, use, storage, and disclosure. This includes any third party operating any site or service to which the Sites or Services link (and the inclusion of a link on the Sites or in the Services does not imply endorsement of the linked site or service), and any mobile or other application provider, social media platform, operating system provider, wireless service provider, or device manufacturer.

13. Cross-Border Data Transfer

Your Personal Information may be stored and processed in any country or region where we have facilities or in which we engage service providers. By using the Services, you understand that your Personal Information will be transferred to countries outside of your country or region of residence, including the United States, which may have data protection rules that are different from those of your country or region. In certain circumstances, courts, law enforcement agencies, regulatory agencies or security authorities in those other countries or regions may be entitled to access your Personal Information.

14. Revisions and Updates

We may change this Privacy Policy from time to time. The “Last Updated” date at the top of this page states when this Privacy Policy was last revised. Any changes to this Privacy Policy will become effective when we post the revised Privacy Policy. We encourage you to periodically review this Privacy Policy to stay informed about how we collect, use, and disclose Personal Information.

California Consumer Privacy Act Supplement

This California Consumer Privacy Act Supplement only applies to Personal Information about California residents.

The following chart details which categories of Personal Information we collect and process, as well as which categories of Personal Information we disclose to recipients for our operational business or commercial purposes, including within the preceding 12 months. The chart also details the categories of Personal Information that we “share” for purposes of cross-context behavioral or targeted advertising, including within the preceding 12 months. Note: The use of certain advertising cookies on our Sites may constitute “sharing” under the California Consumer Privacy Act.

We do not “sell” your Personal Information as defined under the CCPA. We have not engaged in such sales in the 12 months preceding the date this Privacy Policy was last updated. Without limiting the foregoing, we do not “sell” or knowingly “share” the Personal Information of minors under 16 years of age.

We retain each category of Personal Information as described above under the Data Retention section.

We collect, use, and disclose Personal Information for the purposes described above under the How We Use Your Information section.

We collect Personal Information from several sources as described above under the Information We Collect section.

Individual Rights and Requests

You may, subject to applicable law, request that we:

  • Disclose whether we process your Personal Information.

You may also request that we disclose:

  • The categories of your Personal Information we collected and the categories of sources from which we collected your Personal Information;
  • The business or commercial purpose for collecting or “sharing” your Personal Information;
  • The categories of your Personal Information “shared” and the categories of third parties to whom we “shared” your Personal Information;
  • The categories of your Personal Information that we disclosed for a business purpose and the categories of service providers or contractors to whom we disclosed your Personal Information; and
  • The categories of third parties to whom we disclosed your Personal Information.
  • Correct inaccuracies in your Personal Information.
  • Delete your Personal Information.
  • Provide the specific pieces of your Personal Information, including a copy in a portable format.
  • Opt out of targeted advertising, including the “sharing” of your Personal Information for cross-context behavioral advertising. You may also exercise this right by clicking “Decline Non-Essential” on our cookie banner.

You have the right to be free from unlawful retaliation for exercising your rights under applicable law.

We will verify and respond to your request consistent with applicable law, considering the type and sensitivity of the Personal Information subject to the request. For your protection, we may need to request information such as your name, email address, mailing address, and relationship with us to verify your identity and protect against fraudulent requests. If you make a deletion request, we may ask you to verify your request before we delete your Personal Information.

Authorized Agents

If an agent would like to make a request on your behalf as permitted by applicable law, the agent may use the submission methods noted above. As part of our verification process, we may request that the agent provide, as applicable, proof concerning their status as an authorized agent. In addition, we may require that you verify your identity as described above or confirm that you provided the agent with permission to submit the request.
